1. Introduction

These Terms & Conditions outline the rules, responsibilities, and legal terms that apply when you use DigiRox Marketing’s website, communicate with us, or hire our agency for SEO, Social Media Marketing, or Web Development services.

By accessing our website or engaging with us, you agree to these terms.

DigiRox Marketing (“we”, “us”, “our”) operates as a digital marketing agency in India and provides services strictly under the conditions listed in this document.

2. Definitions

For better clarity:

  • Client – The individual or business receiving services from DigiRox Marketing.

  • Services – SEO, Social Media Marketing, Web Development, and any other related services agreed upon in writing.

  • Agreement – Any signed document, contract, or written confirmation that states the scope of work, pricing, and timelines.

  • Deliverables – The work or outputs that DigiRox Marketing agrees to provide after the client makes the required payments.

  • Third-Party Tools – Software or platforms we may use, such as hosting, analytics tools, advertising tools, plugins, etc.

3. Scope of Services

DigiRox Marketing provides:

  • Search Engine Optimization (SEO)

  • Social Media Marketing (SMM)

  • Web Development.

  • Related digital marketing and consulting services.

The exact details of each project will be defined in a written agreement or proposal.

4. Starting the Engagement

A project or service officially begins when:

  • The client signs the agreement or contract.

  • Initial payment (if applicable) is made.

No work starts without written approval.

5. Term & Termination

a) Service Term

The service timeline runs from the agreed Start Date to End Date, or until all agreed deliverables are completed.

b) Termination for Cause

Either party can end the agreement if the other party violates the terms and does not correct the issue within 7–10 business days of written notice.

c) Termination Without Cause

Both parties have the right to end the agreement by giving 30 days’ written notice.

d) After Termination

  • The client must pay for all work completed up to the termination date.

  • DigiRox Marketing will hand over all deliverables that have been fully paid for.

6. Client Responsibilities

To ensure smooth project delivery, the client must:

  • Provide accurate info and required access (hosting, social media accounts, ad accounts, CMS, etc.)

  • Share approvals and feedback on time.

  • Deliver content, product info, or branding materials when required.

  • Ensure all materials provided to us are legally permissible and do not violate copyrights.

Any delays from the client’s side may impact timelines and outcomes.

7. Fees, Payments & Extra Costs

We offer multiple payment options depending on the project:

  • Monthly payments in advance.

  • 50% upfront + 50% upon completion.

  • Milestone-based payments.

Additional Costs

Expenses such as:

  • Ad spend.

  • Optional tools or software.

  • Paid plugins.

  • Photography or licenses.

Any other additional expense will be billed separately with prior approval from the client.

Late Payments

Overdue invoices incur a 5% monthly interest charge.

8. Refund & Cancellation Policy

  • We do not provide refunds once the project has started.

  • Either party can end the agreement with 30 days’ written notice.

  • The client must clear payments for all completed work up to the cancellation date.

No refunds are issued for delays caused by the client.

9. Intellectual Property Rights

What the Client Owns

After full payment, the client owns the final deliverables created specifically for their project.

What DigiRox Marketing Owns

We retain ownership of everything that existed before your project, including:

  • Internal tools.

  • Templates.

  • Software.

  • Frameworks.

  • Code libraries.

  • Stock assets that we do not independently own.

Portfolio Rights

We may display completed work in our portfolio unless the client requests confidentiality in writing.

10. Confidentiality & Use of Results

  • All client information, data, and project details are treated as confidential.

  • DigiRox Marketing may use non-identifiable performance results (like traffic growth or lead increase percentages) as case studies unless restricted by the client.

11. Limitation of Liability

DigiRox Marketing is not responsible for:

  • Lost profits, revenue, or business opportunities.

  • Downtime related to hosting, servers, ad accounts, or external platforms.

  • Issues caused by incomplete or inaccurate information provided by the client.

Result Disclaimer

We do NOT guarantee:

  • #1 Google ranking.

  • A set amount of leads or sales.

  • A specific ROAS or engagement number.

Maximum Liability

If any claim arises, our maximum liability will not exceed the amount the client paid us in the 30 days prior to the claim.

12. Indemnification

The client agrees to protect DigiRox Marketing from any claims, losses, or damages caused by:

  • Content or materials provided by the client.

  • Instructions that break platform rules or advertising laws.

  • Delays caused by missing info or approvals.

  • Misleading or illegal claims in client-provided content.

  • Third-party complaints about the client’s business, product, or service.

  • Issues caused by the client’s hosting, website setup, plugins, or technical systems.

This obligation continues even after the contract ends.

13. Warranties & Disclaimers

We promise to deliver services using best practices, skill, and care.

However, we do not guarantee:

  • Exact search rankings.

  • Specific ROI or sales outcomes.

  • Protection from penalties or algorithm updates..

We always follow platform policies, but we do not control external platforms.

14. Dispute Resolution & Governing Law

  • These Terms are governed by the laws of Delhi, India.

  • If a dispute arises, we first attempt to resolve it through discussion.

  • If there is no resolution within 14 days, the matter may proceed to mediation, arbitration, or court — based on mutual agreement.

15. Updates to These Terms

From time to time, we may update these Terms & Conditions. Updates will be posted on our website. Clients and visitors should review this page periodically.

16. Miscellaneous Conditions

a) Force Majeure

We are not responsible for delays caused by events beyond our control (natural disasters, outages, government actions, etc.).

b) Independent Contractor

DigiRox Marketing works as an independent service provider and does not act as an employee, partner, or legal representative of the client.

c) Non-Waiver

If we do not enforce a condition at one time, we still retain the right to enforce it later.

d) Severability

If any section is found invalid, the remaining sections will continue to apply.

e) Assignment

Clients may not transfer the agreement without our written permission. We may assign the agreement during restructuring, merger, or sale of business.

17. Restricted Industries

We do not serve industries involving:

  • Adult content

  • Weapons

  • Gambling

  • Illegal drugs

  • Fraudulent or misleading schemes

  • Dangerous health claims

  • Political campaigns

  • Religious conversions

  • Any business violating law or platform rules

We may refuse any project that poses legal or reputational risk.

18. Subcontractors & Third-Party Tools

We may refuse any project that poses legal or reputational risk.

  • We may use trusted freelancers, experts, or paid tools to complete parts of a project.

  • We remain responsible for quality control.

  • Extra costs (if any) will only be added after your approval.
